### **1. General Provisions and Definitions**

1.1 Bank — the card infrastructure provider through which we issue virtual payment cards and process transactions on them.

1.2 BIN (BIN-account) — the User's common pool of funds held by the Bank, from which the cards issued against it are funded.

1.3 Card — a virtual card issued against a BIN for payment in advertising networks and related services. An individual limit may be set for each card.

1.4 Team — the User and/or related accounts using a single BIN and/or interconnected cards. All members of the Team bear joint and several liability.

1.5 Authorization / Hold — a pre-authorization of an amount by a merchant (including subscriptions/recurring payments), which may subsequently be captured (settled) or canceled.

1.6 Inactivity — the absence of any operations within the BIN ecosystem (debits, funding of the BIN and/or its associated cards) for 3 (three) continuous calendar months.

### **2. Subject and Purpose**

2.1. We provide an interface to the Bank for issuing virtual cards, managing limits, and paying for campaigns in advertising networks (including, but not limited to: Meta, Google, TikTok), as well as for expense tracking.

2.2 The cards are intended solely for paying for advertising and related services. Use outside of this purpose may lead to the blocking of cards/account.

### **3. Registration and Responsibility for Data**

3.1 The User confirms that they are providing correct data and bears responsibility for its accuracy.

3.2 We (and/or the Bank) have the right to request verification data if it is necessary for the provision of services and/or required by law/payment system regulations.

### **4. Financial Conditions**

4.1 Positive Balance. The use of cards is possible only with a positive balance on the BIN, taking into account all authorizations/holds.

4.2 Funding. Available funding methods and commissions are specified in the interface. Minimum amounts and commissions may change; current conditions are published in the product.

4.3 Limits. The User may reallocate limits: decrease/increase them for individual cards within the available BIN balance.

4.4 Bank/Payment System Commissions. All commissions for issuance, funding, maintenance, network, and reversal transactions are withheld from the BIN funds and/or reflected as separate debits.

4.5 Refusal/Refund. A refund to the detect.expert balance is possible provided there is non-zero activity in canceling subscriptions and no outstanding debts/pending authorizations. Refunds to third parties are not processed.

### **5. Subscriptions and Authorizations (Critically Important)**

5.1 The User is obligated to independently unlink/cancel active subscriptions with merchants (advertising networks and services) before closing a card/reducing a limit/requesting a refund.

5.2 In the presence of active subscriptions and/or deferred authorizations, the User grants prior authorization to us and/or the Bank to:

5.2.1 Withhold funds from the BIN to cover such authorizations/debits;

5.2.2 Temporarily reserve amounts for pending charges;

5.2.3 In case of insufficient funds—debit incoming funds (top-ups) towards previously incurred authorizations/debts.

5.3 If the User has not unlinked subscriptions and there are insufficient funds in the BIN, we reserve the right to: (a) restrict the issuance/use of cards; (b) withhold any subsequent top-ups to pay for authorizations; (c) charge service fees for processing outstanding debts.

### **6. Inactivity Fee**

6.1 In the event of Inactivity (clause 1.6), we reserve the right to charge a monthly maintenance fee for the BIN and cards in the amount of 2 (two) USD + 2% of the current BIN balance on the date of the charge.

6.2 The fee is withheld until activity resumes or until the BIN balance reaches zero. If the balance is insufficient, the charge is made partially, up to the available funds.

### **7. Risk Management and Blocking**

7.1 We and/or the Bank may suspend operations, reduce limits, request documents, or block cards/accounts in the event of:

7.1.1 Exceeding the share of rejected transactions (decline rate), atypical behavior, signs of fraud/circumvention of restrictions;

7.1.2 Violation of the rules of advertising networks, payment schemes, or this Section;

requirements from regulators/acquiring banks.

7.2 High Decline Rate. We reserve the right to apply a penalty commission on withdrawals/refunds if the decline rate exceeds the following over a rolling 32-day window:

7.2.1 Over 20% — a 6% commission;

7.2.2 Over 40% — a 12% commission. The calculation methodology and observation window may be further specified in the product.

7.3 We may refuse the issuance of new cards/funding of the BIN until the reasons that caused the restrictions are eliminated.

### **8. Prohibited Topics and Actions**

8.1 Advertising materials and/or the use of cards related to the following are prohibited:

8.1.1 Human trafficking, child exploitation, pornography;

8.1.2 Narcotics and controlled substances (including "adult nutra" without authorization), weapons;

8.1.3 Distribution of malicious software (malware), deceptive installations;

8.1.4 Any other topics prohibited by law, payment system rules, or advertising networks.

8.2 Exploitation of network/provider vulnerabilities (including non-payment of the "first bill," chargeback fraud) is prohibited and leads to blocking without reimbursement.

### **9. Liability and Disclaimers**

9.1 The User bears full responsibility for the content and compliance of their advertising with the requirements of merchants/platforms/law.

9.2 We and/or the Bank are not responsible for the operation of advertising networks, delays, holds, declines, moderation pauses, or other restrictions on the part of third parties.

9.3 The transfer of access to the account/cards/credentials to third parties is carried out at the User's own risk; all actions performed with such access are considered actions of the User.

### **10. Communications and Amendments**

10.1 Notifications shall be sent via email.

10.2 We may update the terms of this Section; the new version comes into effect from the moment of publication, unless expressly stated otherwise.

10.3 In the event of significant changes to financial conditions (commissions/tariffs), we endeavor to provide advance notice (except in cases of urgent requirements from the Bank/regulator).

### **11. Term and Termination**

11.1 This Section is valid indefinitely. The User may initiate the termination of service by providing at least 30 (thirty) days' notice, provided there are no active subscriptions/authorizations or outstanding debts.

11.2 We may terminate the service with at least 5 (five) days' notice, or immediately in the event of a gross violation of this Section, legal requirements, or payment scheme rules.
